9. Disclaimers and Limitation of Liability

9.1 No Warranty

THE SITE AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI IN LOGISTICS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND TITLE.

We do not warrant that the Site will be uninterrupted, secure, error-free, or free from viruses or other harmful components. We do not warrant the accuracy, completeness, or usefulness of any information on the Site.

9.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AI IN LOGISTICS, ITS OPERATORS, CONTRIBUTORS, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability to you for any claim arising out of or relating to these Terms or your use of the Site shall not exceed the greater of: (a) the amount you have paid to us in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100 USD) or the equivalent in your local currency.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless AI in Logistics, its operators, contributors, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys’ fees) arising from or relating to:

  • Your use of or access to the Site

Upon termination, all provisions of these Terms that by their nature should survive termination shall survive, including, without limitation, intellectual property provisions, disclaimers, indemnification, and limitations of liability.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms and any disputes arising out of or relating to them or the Site shall be governed by and construed in accordance with the laws of the jurisdiction where AI in Logistics is principally operated at the time the dispute arises, without regard to conflict of law principles. Once AI in Logistics is formally incorporated, this clause will be updated to reflect the governing jurisdiction of the registered entity.

12.2 Dispute Resolution

Before initiating any formal legal action, you agree to first contact us at hello@aiinlogistics.com and attempt in good faith to resolve the dispute informally for a period of at least sixty (60) days. The vast majority of issues can be resolved this way.

If the dispute cannot be resolved informally, both parties agree to attempt mediation through a mutually agreed mediator before initiating litigation or arbitration. Any unresolved dispute shall, where permitted by applicable law, be resolved through binding individual arbitration rather than in court. You and AI in Logistics agree that any dispute shall be resolved on an individual basis only, and you waive any right to participate in a class, collective, or representative action.

12.3 Exceptions

Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information. Small-claims actions may also be brought in an appropriate court of competent jurisdiction.

13. Changes to These Terms

We reserve the right to modify these Terms at any time, in our sole discretion. When we make material changes, we will update the “Last Updated” date at the top of this document and may provide additional notice through the Site or via email to newsletter subscribers.

Your continued use of the Site after any update constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Site.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy and Disclaimers, constitute the entire agreement between you and AI in Logistics regarding your use of the Site and supersede any prior agreements between you and us.

14.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of AI in Logistics.

14.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign or transfer these Terms freely without restriction. Any attempted assignment in violation of this provision shall be void.

14.5 No Agency

Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and AI in Logistics.

14.6 Force Majeure

AI in Logistics shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government action, internet outages, power failures, or labor disputes.
